Changes to the close corporation name

In order to change an existing close corporation name, a name must first be reserved. Once a name reservation has been approved, the close corporation must apply for an amended Founding Statement.  Please note that any changes to the Founding statement must be accompanied by a resolution by the members authorising the name change.

To apply for a name change, follow these steps:

Step 1:  Register as a Customer

  • If you are already registered as a customer, and know your customer code and password, proceed to step 2.

Step 2:  Deposit funds

  • Deposit R50 for a name reservation and R30 for the Amended Founding Statement (CK2)  into the CIPC bank account.  For the bank account details, click here.

Step 3: Reserve a Corporate Name

  • To reserve a name, follow these steps:

    • Click on”Login to E-Services”;

    • Login using your Customer Code and Password;

    • Click on Name Reservation

    • Select and Click on “Proposed Names”;

    • Capture four (4) names in order of preference. Please ensure that you capture the names accurately. If you make an error, you will need to apply for a name change at a later stage;

    • Click on “Submit”. Please ensure that you only press “Submit” once. If you press the cursor more than once, you will be making multiple submissions and will be charged for them individually;

    • Click on ”Continue with the reservation” and “Print”. You will receive an email notifying you if any of the names were successful. This will take the form of a COR9.4 approving the name reservation and indicating the period of validity of the name reservation;

  • The service delivery standard for a name reservation is 5 working days from the date of submission. 

Step 4: Apply for an Amendment to the Founding Statement

 

To do the electronic part of the application, follow these steps:

  1. Click on "Login to E-Services" and then on Electronic close corporation amendments.
  2. Login as Customer with your customer code and password.
  3. Select Close Corporations, Amend details of close corporation under the Start Here menu on the left.
  4. A message will be displayed, reminding the customer that certified copies of ID documents of active and resigning members must be attached, as well as the ID of the customer who lodges on behalf of the Close corporation.  Click on OK.
  5. Fill in the required fields, Enterprise name and Enterprise number (without any back or forward slashes) as well as the Security Code and click on New amendment.
  6. The information of the members (the CK2/CK2A) detail will appear on the screen.  Complete the fields and required changes in the fields displayed.
  7. Click on Accept changes and minimize.
  8. A tracking number will appear on the screen.  Write the tracking number down for future reference and enquiries.
  9. Click on "Open" in order to open and print the application, or Click on "Save" to save the application.  Print the application.
  • The forms must be signed by all members of the close corporation.
  • Click here to upload  and submit the signed forms and supporting documents to CIPC OR Scan and e-mail the completed, signed and certified documents together with supporting information to ck2@cipc.co.za
  • The following supporting documents must be included in your e-mail:
    • Letter of approved name (Cor9.4)
    • Certified identity copy of applicant
    • Certified ID copies of all members and resigning members
    • Certified copies of passports and in the case of refugees or asylum seekers – a certified copy of valid prescribed documentation.

The service delivery standard is 5 working days from the date of receipt. If you do not receive your certificate of amendment within the service delivery standard, please send a query to us by going to “Enquiries” and select the correct option.

You can track the progress of your document by checking on our website. Go to “Additional Services”, select “Customers” and then select “Document Status”. To check the tracking number, go to “Customer Transactions” under “Customers”.

Other changes to the Founding Statement (CK2) (principal business, fin yr end, members, address)

Changes to the Founding Statement of the close corporation may include: 

  • Change in principle business (Form CK2)
  • Change in membership detail and change in financial year end (Form CK2)

The CK2 form is made up of Part A and Part B and Part C.

    • Part A relates to changes in respect of the name of the CC or the nature of the business.
    • Part B relates to changes in respect of membership details.
    • Part C relates to a person ceasing to be a member. In case of death, please add executors letter and certified copy of the executors ID and NOT a death certificate,  The executor must sign the resigning page.

  • For changes in principle business, change in name or change in membership detail and change in financial year end, deposit  R30 into the CIPC bank account.  For the bank account details, click here.  Changes to the address of the close corporation or the accounting officer is free of charge.

Step 3: Apply for an Amendment to the Founding Statement

  1. Click on "Login to E-Services" and click on Electronic close corporation amendments.
  2. Login as Customer with your customer code and password.
  3. Select Close Corporations, Amend details of close corporation under the "Start Here" menu on the left.

  9. Click on "Open" in order to open and print the application, or Click on "Save" to save the application.  Print the application.
  10. The request for close corporation amendments will not be affected until a certified scanned copy or  a hard copy of the CK2/CK2A, signed by all the members and resigning members of the CLOSE CORPORATION, as well as all the supporting documents are received by CIPC. 

  • Click here to upload  and submit the signed forms and supporting documents to CIPC OR Scan and e-mail the completed, signed and certified documents together with supporting information to ck2@cipc.co.za
  • The following supporting documents must be included in your e-mail:
    • Certified identity copy of applicant

    • Certified ID copies of all members and resigning members

    • A written instrument signed by all members including the new members consenting to the changes - it can be in the form of minutes, agreement, resolution etc, certified as a true copy of the original.

    • Certified copies of passports and in the case of refugees or asylum seekers – a certified copy of valid prescribed documentation.

    • In the case of a deceased member,  an executor’s letter issued by the Master of the High Court, The CK2 document must be signed by the executor.  A certified ID copy of the executor of the estate must also be attached.

Where the CC has more than one member all members should provide certified ID copies, including the person who will be lodging on behalf of others.

The request for close corporation amendments will not be affected until a certified scanned copy or a hard copy of the CK2/CK2A, signed by all the members and resigning members of the CLOSE CORPORATION, as well as all the supporting documents are received by CIPC.
