Annual return and AFS / FAS technical challenges
Kindly note that Annual Return service, as well as Financial Accountability Supplement (FAS) / Annual Financial Statement (AFS) have been shut down for maintenance. CIPC will inform customers as soon as it is up and running.

The annual return “hard stop” has been rolled out on 7 February. Either the financial accountability supplement (FAS) or the Annual Financial Statements (AFS) have to be submitted simultaneously with the Annual Return filing.

The Companies and Intellectual Property Commission (CIPC) has commenced with the notification process in terms of Companies Regulation 40, 2011 for companies and close corporations referred for deregistration due to non-compliance with Annual Returns.

Disqualified directors letters
The CIPC recently issued letters notifying affected companies and close corporations about the disqualified directors or members who are listed as active in their entities. It has come to our attention that the list erroneously included directors or members who have been rehabilitated and as a result letters were also issued to the companies and close corporations of rehabilitated directors or members.

The Protection of Personal Information Act, 4 of 2013 (“POPIA”) came into operation on the 1st of July 2021, with various requirements applicable to both public and private bodies.
Status on file transition to the new bulk storage facility
The notice (Notice 38 of 2021) issued by CIPC in respect of file transition has reference. The project of moving approximately 7.2 million Companies, Close Corporations, Patents, Trade Marks, Copyright, Cooperatives and Designs files to the new storage facility started on 26 July 2021 and is ongoing. During the 1st month of the envisaged 4 months file transition period, approximately 25% of such files were moved to the new storage facility.
