Grounds for the suspension and/or revocation of business rescue practitioner licenses

The Companies and Intellectual Property Commission (CIPC) has a duty to ensure the monitoring of proper compliance with the Companies Act, 71 of 2008 (“the Act”) as one of its mandated functions. Part of the CIPC’s objectives is to strengthen oversight of the conduct of business rescue practitioners and the effective regulation of the business rescue regime.
To curtail abuse of the business rescue process and entities in financial distress, greater clarity is needed by industry on what constitutes reasonable grounds for suspension and/or revocation of business rescue practitioner licenses and the consequences of each.

The following grounds shall constitute reasonable grounds for the Suspension of BRP licenses:
1. Incompetence or failure to perform the duties of a business rescue practitioner, which includes, but not limited to: –
– Factual / proven complaints i.e. outcome by the court or accredited bodies.
– Non-compliance with the Companies Act requirements, i.e. filing of reports.
2. Failure to exercise the proper degree of care in the performance of the practitioner’s functions, including but not limited to: –
– Impartiality
– Standard of care and diligence
– Conflict of interest
– Failure to prioritize employment related obligations
– Delaying of processes, i.e. publication of business rescue plan
– Acting without necessary and/or prescribed approvals.

CIPC Pretoria self service centre will relocate from the first floor to the ground floor at the Sancardia Mall in Pretoria

The Companies and Intellectual Property Commission (CIPC) Pretoria Self-Service Centre (SSC) is relocating from the first floor to the ground floor at Sancardia Mall, 541 Madiba Street in Arcadia, Pretoria.

Still remaining in the city centre, the SSC is moving to what was formerly known as the Standard Bank building opposite Roman’s Pizza.

The SSC on the ground floor will open to the public on Monday, 1 June 2026, at 08:00.

Providing the Commission with accurate and up to date information of directors

One of the functions of the Commission is to establish and maintain in the prescribed manner and form a register of companies, and any register contemplated in the Companies Act, or in any other legislation that assigns a registry function to the Commission.

The information in these registers must be accurate, up to date and adequate to ensure the prevention of fraud and falsification, amongst others.

The Companies and Intellectual Property Commission (CIPC) has observed discrepancies with regards to information on its registers despite legislative requirements for accurate and up to date information and companies filing Annual Returns.
Section 24(5) of the Act, provides the crux of information that companies must keep and therefore ensure that the Commission registers are similarly up to date.

Automation of Co-operative Director Amendments

The Companies and Intellectual Property Commission (CIPC) will enhance the processing of Co-operative Director Amendments from manual to automated solutions, effective from 28 April 2026.
Currently, Co-operative Director Amendments are processed manually, resulting in several operational challenges. These include delays in accessing confirmation documents, reliance on manual data corrections, limited reporting, and insufficient automated communication with customers during application processing. In addition, manual application handling increases the risk of human error and inefficiencies, while the use of legacy systems creates limitations in scalability and compatibility.

To address these challenges and improve service delivery, the CIPC is implementing an automated solution for Cooperative Director Amendments. This solution will be hosted on the enhanced CIPC e-Services platform, offering a more efficient, transparent, and secure process for customers and internal teams.

Temporary delays in responding to disclosure and finance enquiries

The Companies and Intellectual Property Commission (CIPC) remains committed to delivering efficient, reliable, and customer-focused service. The Commission would like to inform its valued customers that we are currently experiencing temporary delays in responding to requests and enquiries, particularly within the Disclosures and Finance areas.

We acknowledge the increased turnaround times and assure you that we are actively addressing the backlog. Our teams are working diligently to resolve outstanding matters as quickly and effectively as possible.
To improve response times and restore service levels, several additional measures are being implemented, including:
•Deployment of extra resources to assist with clearing existing backlogs.
•Streamlining internal processes to accelerate query resolution.
•Enhanced monitoring to ensure enquiries are prioritised and tracked more effectively.
