Providing the Commission with accurate and up to date information of directors

One of the functions of the Commission is to establish and maintain in the prescribed manner and form a register of companies, and any register contemplated in the Companies Act, or in any other legislation that assigns a registry function to the Commission.

The information in these registers must be accurate, up to date and adequate to ensure the prevention of fraud and falsification, amongst others.

The Companies and Intellectual Property Commission (CIPC) has observed discrepancies with regards to information on its registers despite legislative requirements for accurate and up to date information and companies filing Annual Returns.
Section 24(5) of the Act, provides the crux of information that companies must keep and therefore ensure that the Commission registers are similarly up to date.

Automation of Co-operative Director Amendments

The Companies and Intellectual Property Commission (CIPC) will enhance the processing of Co-operative Director Amendments from manual to automated solutions, effective from 28 April 2026.
Currently, Co-operative Director Amendments are processed manually, resulting in several operational challenges. These include delays in accessing confirmation documents, reliance on manual data corrections, limited reporting, and insufficient automated communication with customers during application processing. In addition, manual application handling increases the risk of human error and inefficiencies, while the use of legacy systems creates limitations in scalability and compatibility.

To address these challenges and improve service delivery, the CIPC is implementing an automated solution for Cooperative Director Amendments. This solution will be hosted on the enhanced CIPC e-Services platform, offering a more efficient, transparent, and secure process for customers and internal teams.

Temporary delays in responding to disclosure and finance enquiries

The Companies and Intellectual Property Commission (CIPC) remains committed to delivering efficient, reliable, and customer-focused service. The Commission would like to inform its valued customers that we are currently experiencing temporary delays in responding to requests and enquiries, particularly within the Disclosures and Finance areas.

We acknowledge the increased turnaround times and assure you that we are actively addressing the backlog. Our teams are working diligently to resolve outstanding matters as quickly and effectively as possible.
To improve response times and restore service levels, several additional measures are being implemented, including:
•Deployment of extra resources to assist with clearing existing backlogs.
•Streamlining internal processes to accelerate query resolution.

Customer Enquiry Management System (CEMS)

The Companies and Intellectual Property Commission (CIPC) is committed to continuously improving our operational efficiency.  In line with this goal we are pleased to inform customers that the Customer Enquiry Management System (CEMS) has been introduced and has been successfully operational for several weeks. Several CIPC customers have already begun using this enquiry tool, and we encourage all customers to do the same.

The purpose of CEMS it to provide a central repository for all enquiries logged within CIPC.

IMPORTANT:  From 1 April 2026, all enquiries must be logged via the CEMS. The dedicated query email addresses will be discontinued as of 1 April 2026. Enquiries received on or before 31 March 2026 will still be addressed.  However, all follow-up correspondence related to those enquiries must be directed through CEMS.

Non-complying entities with issued compliance

PURPOSE

This notice is intended to notify those entities that have not complied with the Compliance Notice’s requirements issued under section 171 of the Companies Act 71 of 2008 and, as a result, have not effectively corrected the non-compliance that occurred within their entities. The preceding Notice No. 65 of 2016 regarding the modification of the registered entities’ Compliance Status on the Disclosure certificates is followed by this notice. After investigating, the CIPC must prepare an inspector’s report along with the compliance notice in accordance with section 171. The CIPC may, at its discretion, make the inspectors’ report public in terms of section 170(2).

The CIPC will thus make public the names of the entities that failed to comply with the requirements of the Compliance Notices issued, and the Company Tribunal has not set aside/or modified such Compliance Notices.

OBSERVATIONS

Through its compliance monitoring efforts under section 187 of the Act, CIPC has noticed a pattern in which entities have disregarded the Compliance notices that were sent out to redress the non-compliance of the applicable laws as specified in Schedule 4 of the Act.

To improve corporate accountability and transparency among the registered entities, the compliance status of those entities that have not complied with the issued Compliance Notices has been changed to “Failed to comply with the Compliance Notice,” which will be shown on their disclosure certificates. Apart from the modification of compliance status, the Commission will publish the names of all entities with outstanding compliance notices.

IMPLICATION OF NON-COMPLIANCE WITH THE COMPLIANCE NOTICE

Therefore, it is strongly advised that entities verify their most recent disclosure certificate and comply with the requirements outlined in the Compliance Notices. CIPC is in the process of requesting administrative fines from a court of competent jurisdiction and the relevant non-compliant entities will be served with the relevant legal documents. According to section 175 of the Companies Act, a court may impose administrative fines of up to 10% of the company’s turnover during the non-compliant period or R1 million, whichever is higher.
