We are pleased to inform you that Learn-i-Biz, the CIPC e-learning platform launched in 2022, has been receiving a positive feedback from an increasing number from those enrolled on the programme since it was launched. The platform is one of the tools aimed at empowering business and potential business owners with deeper knowledge and understanding of the responsibilities of a company director. Learn-i-Biz was conceptualised by CIPC Commissioner to enable SA company directors and entrepreneurs to have better understanding of their duties and responsibilities. It is also aimed to, further improve compliance and encourage governance among directors, which ultimately would improve investor confidence for development of our economy to create jobs and alleviate poverty. The e-learning platform is not only available to directors, but also to those who wish to get a better understanding of legislative requirements for registering and maintaining a company and also empower University students.

Practice Note 4 of 2023: Filing of documents

Applications filed with the CIPC, that comply with the Companies Act, and CIPC internal requirements, are processed accordingly. To that end, reasonable steps have been taken by the CIPC to ensure that filers are informed and guided on the Act and process requirements, through the publication of extensive step by step guides, guidance notes, etc.
It is however a reality that disputes arise within company structures, which necessitated the provision of remedies in the Act and its Regulations, for aggrieved parties. One such remedy is embodied in Regulation 168(6) of the Companies Act Regulations, which provide as follows: –
“(6) A company may challenge any document filed with the Commission within 10 business days by filing a notice in Form CoR 168.”

Enforcement of beneficial ownership filings and securities registers as from 01 October 2023

 

The Companies and Intellectual Property Commission (CIPC) implemented a beneficial ownership register from 01 April 2023 on a voluntary basis. The filing of beneficial ownership filings and securities/beneficial interest registers became mandatory from 24 May 2023 upon promulgation of the Amended Companies Regulations to give full effect to the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act 22 of 2022.

In terms of the amended regulations, entities incorporated after promulgation of the amended Companies regulations have to file beneficial ownership information within 10 business days after the date of incorporation. The same applies with regard to the updating of beneficial ownership records when there are changes.

 

Pre-existing entities, which had their anniversary date after the promulgation of the amended Companies Regulations have to also file their beneficial ownership information. We have noted that a number of entities which were supposed to file their beneficial ownership information have not filed as required. This notice serves as a reminder and those entities who have not filed are encouraged to do so.

The Commission will also be engaging some of the entities to enforce filing of their beneficial ownership information. The Commission will also conduct inspections to verify if the filed beneficial ownership information that is on our records corresponds with records kept by respective entities.

CIPC 2023 XBRL taxonomy for public consultation

The CIPC has implemented filing of Annual Financial Statements (AFSs) via XBRL since 1 July 2018: The AFSs are based on the International Financial Reporting Standards (IFRS) Taxonomy as published by the International Accounting Standards Board (IASB) on 31 March 2016. Since then, the IASB released updates to the IFRS taxonomy in 2017 up to and including 2023. The CIPC wishes to update its taxonomy (inclusive of previous updates) in line with the latest 2023 releases of IFRS. The CIPC has made the data model as well as the new taxonomy available on its website for public consultation.

Please provide the CIPC with comments on the suggested new taxonomy by 06 September 2023.
