The Companies and Intellectual Property Commission (CIPC) would like to advise customers, that although the National Lockdown levels are still in place, CIPC has a legal duty in terms of section 186(1)(b) of the Companies Act, 2008 (the Act) to maintain an accurate and up-to-date registry of companies and close corporations.

ACKNOWLEDGEMENT OF THE APPOINTMENT OF BUSINESS RESCUE PRACTITIONERS

Since the introduction of Chapter 6 of the Companies Act it has been the practice that upon receiving the appointment of the business rescue practitioner (CoR123.2) by the company, we the Commission date stamp it to confirm such appointment.

Due to challenges posed by the Covid-19 pandemic, at times it is not always possible to affix a date stamp because of the office closure due to deep cleaning and sanitization at various intervals. Having said the above and in order to verify and confirm appointment of the business rescue practitioner, kindly do a company disclosure where the records should include the name of the appointed practitioner, since we cannot physically date stamp the CoR123.2 form.

New method of issuing confirmation

New method of issuing confirmations of processing COR123.1, COR125.2, COR125.3, and other court orders related to business rescue proceedings

The Companies and Intellectual Property Commission would like to advise customers that the CIPC will change the method of issuing confirmation of business rescue proceedings matters (form CoR123.1, CoR125.2, CoR125.3 and court orders relating to business rescue proceedings). As from 15 July 2020, a letter will be issued confirming that the application was received, processed and that the relevant status change has been made on the companies registry.

This confirmation letter will be signed by either the Senior Manager: Companies and Close Corporations, Manager: Company and Close Corporation Annual Returns, Deregistrations, Liquidations, Business Rescue Proceedings and Re-instatements or any person acting in such position. Thus, the CIPC will no longer issue a stamped copy of the submitted application as confirmation for such applications. This method is aligned to other existing applications within CIPC whereby a confirmation letter is issued as confirmation that application was processed e.g. amendment to Memorandum of Incorporation (form CoR15.2).

COMPANIES, CLOSE CORPORATIONS REGULATORY COMPLIANCE DURING GOVERNMENT LOCKDOWN OF SOUTH AFRICA

The Companies and Intellectual Property Commission would like to advise customers that the National Lockdown regardless of lockdown level will continue to impact Companies and Close Corporations in terms of some of the Regulatory Requirements prescribed in terms of the Companies Act, Act 71 of 2008 as amended, viz.

1. Preparation of Annual Financial Statements (AFS) within 6 months
2. Filing of latest available set of Annual Financial Statements using iXBRL
3. Filing of a Compliance Checklist as published with the relevant guidance notes
4. Filing of Financial Accountability Supplements (FAS)

CIPC in its Notice, Notice 21 of 2020 published on 15 April 2020, communicated that “Filings which falls within the national lockdown period, would be extended until after the national lockdown ceases or until CIPC communicates otherwise“. The National Lockdown is still in force, this has the effect that the extension of the filing periods will continue to be in place with regards to the compliance checklist, preparation and filing of annual financial statements, filing of financial accountability supplements as listed above.

CIPC will not issue any Compliance Notices, if the non-compliance can be attributed to the constraints and limitations posed by COVID19-SA. However, all entities are reminded to file their “latest” sets of available Annual Financial Statements or FAS’s as a way of complying with Section 33 of the Act read with Companies Regulation 30(2). By filing the “latest” set of AFS or FAS, when filing Annual Returns within the prescribed period will not result in any penalties. Any AR filing outside of the prescribed period will result in a penalty being incurred and such will not be credited by CIPC back to the customer who is filing the Annual Return.

New process for updating customer code contact details/password reset

Currently, customers wishing to update their cell phone number and/or email address to be able to reset their password for their customer code, need to send an email to resetpassword@cipc.co.za. This process will change and all request need to be logged on the CIPC Enquiries system (https://enquiries.cipc.co.za) by clicking on Forgot password.

As part of our ongoing strategy to improve customer service and remain abreast with changes in our environment, the CIPC will soon commence a process to phase out its deposits system and replace it with a card payment system for all services. The new card payment system will require customers to transact with CIPC using debit and credit cards only, with payments occurring only when a customer transacts.
