Dear Customer

Kindly note that the process for updating customer code details has changed.

You need to follow the below steps:

CUSTOMER CODE UPDATE

If the email of the customer code is outdated, or both email and cell phone numbers are outdated, the following steps must be followed:

Send an email to resetpassword@cipc.co.za and attach the following:

  1. Customer update form CLICK HERE to download and;
  2. Certified ID copy (not older than 3 months)

Important:  The request for update must come from the new email address which will be linked to your customer code

Company customer code

  • If the Company Secretary/staff member who dealt with CIPC resigned and new Company Secretary/staff member to represent the company is appointed, the following are required:
    •    Certified ID Copy of new Company Secretary/client dealing with CIPC on behalf of company (Certification not older than three months)
    •    Certified ID Copy or Resignation Letter of Previous Company Secretary
    •    Affidavit by CEO/Director/Manager of company confirming resignation of previous customer code holder, indicating that customer code belongs to company , and not to individual
    •    Certified ID copy (Certification not older than three months) of CEO/Director/Manager who signed the affidavit and;
  • Customer code update form, CLICK HERE

Important:  The request for update must come from the new email address which will be linked to your customer code

If you have more than one customer code, with balances in both accounts:

To ensure that you only have a single active customer code, the following process must be followed to transfer funds to a single active customer code:

  1. Send the below documents to revenue@cipc.co.za
  • Provide a brief narrative of the issue and provide the following information and documents for the transfer of funds to the single preferred active customer code
  • Preferred customer code;
  • Customer name and surname; and
  • Proof of deposits made into the code that you want to make dormant;
  • Letter on a letterhead requesting the refund and confirming into which code it must be transferred; and
  • Certified identity copy of the owner of the code.
  1. Once e-mail confirmation is received that the funds have been transferred, send an email to resetpassword@cipc.co.za to request that the customer details be updated by sending:
  • Certified identity copy of the owner of the customer codes (certification not older than three months) and;
  • Customer code update form, CLICK HERE

Once your email has been updated, you need to verify your customer code to continue (please refer to Notice 18 of 2024: New Customer Verification Process dated 4 March 2024).

Update CIPC enquiries system not available – alternative processes

Dear Customers,

 

Kindly note that the Enquiry system (www.enquiries.cipc.co.za ) is currently not available.  Customers are advised to use the following email addresses to send enquiries to a specific unit or department.  The customer code as well as enterprise number and tracking number (if applicable) must be used as reference to ensure that the staff member/s will be able to assist.

IMPORTANT:  Do not send any enquiries to personal mailboxes but use the relevant email address listed below.  Please do not send the same enquiry several times to the same mailbox, as it causes a blockage in the system.  This results in a longer time to finalise each query.  Your mail will be attended to as soon as possible.

All customers are urged to verify their customer profiles as soon as possible.  All customers must be verified before any of their transactions will be processed.  This includes applications e-mailed for processing as well as refund requests.

Incorporating beneficial ownership information with annual return filings for companies and close corporations

Beneficial ownership information by corporate vehicles registered with the CIPC must be submitted to the Commission in terms of the amendments brought about by the General Laws (anti-Money Laundering and
Combatting Terrorism Financing) Amendment Act, 22 of 2022, which amended the Companies Act, 2008 (“the Act”).

In terms of the amendment, as from 24 May 2023 with the implementation of the relevant Regulations, all companies and close corporations must file its annual return with the Commission, together with its beneficial ownership declaration and security register or beneficial interest register (as applicable), within 30 business days after their anniversary date.

The Companies and Intellectual Property Commission (“CIPC”) will strictly enforce the filing of Beneficial Ownership Declarations (“BO”) information with the filing of Annual Returns, as from 15 April 2024. In terms of this hard-stop functionality, companies and close corporations will not be allowed to file its Annual Return via any of the CIPC electronic platforms UNLESS BO has been submitted and/or is up to date. As per the Act as amended, BO, AFS/FAS must be filed with Annual Returns.

Therefore, if BO is not up to date the company or close corporation may: –

  •  Incur penalties for the late filing of Annual Returns;
  •  Enforcement action may be taken by the CIPC through investigation into the administration and governance processes of your business and even the issuing of a compliance notice; and/or
  •  Referral for deregistration and even final deregistration due to non-compliance.

Rejection of Re-instatement applications- unverified profiles

Customers are hereby informed that re-instatement applications will be rejected as from 14 March 2024, if the customer code on the form CoR40.5 has not been verified as per Customer Notices 18 of 2024 (https://www.cipc.co.za/?p=20626) and 22 of 2024 (https://www.cipc.co.za/?p=20675).

As from 6 March 2024, all customers must be verified before any of their transactions are processed, this includes applications e-mailed for processing. The verification process has the impact that emailed applications cannot be tracked and therefore be referred for further processing.

Customers, especially those that have pending re-instatement applications are reminded to urgently verify their customer profile information as per the Customer Notice 18 of 2024, before it is rejected.

Security compromise of the CIPC- Business Continuity

Many of you might have read in the media, that the CIPC experienced a security breach.

Without detracting from the seriousness of such incident, it’s important to mention that the CIPC is not the only organization that has been subjected to such a breach, and there has been a massive increase of cyber-attacks within South Africa and it would seem that as a jurisdiction, we are being targeted.

Breaching the security infrastructure of any organization, institution or agency is nothing more than a criminal act and the perpetrators are criminals that should be portrayed as such. As a result of the criminal nature of the unlawful and mala fide breach of the CIPC security systems and protocols, the necessary steps will be taken to ensure that the guilty are held responsible for the crimes committed.

As soon as the breach became known, the CIPC proceeded to comply with all requirements in terms of the Protection of Personal Information Act, 4 of 2013, by notifying the Information Regulator, the South African Police Service and the State Security Agency of the security compromise and publishing a media statement to that effect. Every reasonable steps are being taken to ensure that the CIPC systems and platforms are protected from unlawful and//or unauthorized access and abuse, and remain available to our clients for transacting.

We will continue to transact and service our clients with efficiency in all areas of our core mandate as we have been and are currently doing. The CIPC has always been aware of the possibility of attacks against its databases and over the years have invested significantly in the best technology to secure the data kept on our registers, despite having the legal obligation to disclose same.

The recent events have necessitated the CIPC to remind our clients of the content of section 187(4)(c) of the Companies Act, 71 of 2008, which states: –

“(4) The Commission must-
(c) make the information in those registers efficiently and effectively available to the public, and to other organs of state;

In terms of our governing legislation, the information contained on the CIPC registers form part of the public domain and can be accessed by any person when the legal and lawful processes are followed.

Due to the increased regulatory compliance frameworks within South Africa brought about by the General Laws Amendment Act, 22 of 2022, criminals are feeling the pressure and as one of the Regulators tasked with enforcing compliance to the legislation, the CIPC is not immune to levels of criminality levelled against it.

The resultant effect is heightened awareness of security (especially cyber security) risks and greater vigilance in terms of the protection of the data the CIPC is custodian of.

CIPC has been and continue to deploy additional security and verification layers on all our transactional platforms, and our clients are urged to update and amend all passwords and login information, as an added security measure.

The Commission, established by the Companies Act, 71 of 2008, will perform its functions, without fear, favour or prejudice and will continue to fulfill its obligations and objectives, even in the face of Criminal adversity.

New customer verification process

In line with securing customer accounts, CIPC has implemented a new customer verification process for SA ID holders as well as Foreign Passport holders.

The process will be as follows:
A. Clients with a South African ID number

1. Customer will login using existing credentials on existing platforms.
2. Upon login, customer will be presented with a verification page. Customer must:

    • Provide all necessary information which is mandatory.

3. Once all provided information is verified, a password reset page will be presented, and you will be required to update your password.

    •  Follow the instruction for “password minimum requirements”
    •  In instances where you need to update your contact details (follow “update contact details process”)

4. When you input the new password and confirm new password, click on update.
5. An email link will be sent to the email address as listed by the customer, for verification.
6. Click the link to verify.
7. On successful verification, clients will now be able to log in.

 

B. Foreign Nationals – (passport numbers)
1. Customer will login using existing credentials on existing platforms.
2. Upon login, customer will be presented with a verification page. Customer must:

    •  Provide all necessary information, which is mandatory and click verify.
    •  Follow the instruction for “password minimum requirements”
    •  In instances where you need to update your contact details (follow “update contact details  process”)
    •  Once all provided information is verified and successful, a password reset page will be provided to update your password

3. If there is no record of passport details on CIPC’s database, you will be provided with a link to update passport details on the Foreigner Assurance process.
4. Once approved, you will be able to return after 48 hours and then follow Step 2 above.
5. An email link will be sent to the email address as listed by the customer, for verification.
6. Click the link to verify.
7. On successful verification, clients will now be able to log in.
